By-laws

(Revised, September 1992)

ARTICLE I – NAME

The name of this organization shall be the Woodland Weavers and Spinners Guild.

ARTICLE II – PURPOSE

Section 1.  The purpose of the guild shall be to encourage creative handweaving and fiber arts and to promote fellowship and education.

Section 2. To encourage originality and excellence in handweaving and fiber arts and to stimulate broader appreciation of the fiber arts by the public.

ARTICLE III – MEMBERSHIP AND DUES

Section 1.  The membership of this Guild shall be open to those persons who weave or spin or are interested in fiber arts

Section 2.  The annual dues of the guild shall be determined each year by vote of the membership and be payable by May 31.  The membership is terminated if dues remain unpaid as of the September meeting.

Section 3.  Guests may be invited to regular meetings by members.  A guest may attend two meetings before joining.

ARTICLE IV – MEETINGS

Section 1.   Regular meetings will be held on the first Monday evening in September, October, November, December, January, February, March, April, May, and June.  The June meeting will be the annual meeting.  Special meetings may be held at the discretion of the Executive Board.  

Section 2.  One officer and 15% of the members shall constitute a quorum for the transaction of business at all meetings.

ARTICLE V – OFFICERS

Section 1.  New officers shall take office at the annual meeting.  Officers may serve a two-year term.  No officer shall hold the office more than two consecutive terms.

Section 2.  The officers of the guild shall be president, vice-president, secretary, and treasurer.

Section 3.  The president shall preside at all guild and Executive Board meetings and shall be a member ex-officio of all committees except the nominating committee and shall perform all duties usually pertaining to this office

Section 4.  The vice-president shall act in the absence of the president and shall also be Program Chairman and shall arrange for the meeting place of each regular meeting.

Section 5.  The secretary shall keep the minutes of guild and Executive Board meetings and attend to other correspondence necessary to the guild.

Section 6. The treasurer shall keep proper records of all receipts and disbursements, and shall pay out funds as designated by the budget.  Other expenditures shall be voted on at the guild meeting.  A statement of account must be made at each meeting with a complete account made for the year at the annual meeting.  Treasurer shall file all required IRS and State taxes, fees, and forms by the dates due, based on a fiscal year of July 1 to June 30, and an effective Tax Exempt Status as of 7/1/2013

ARTICLE VI – EXECUTIVE BOARD

Section 1.  The Executive Board shall consist of the president, vice-president, secretary, treasurer, and immediate past-president.

Section 2.  The Executive Board shall meet twice yearly, and before the January meeting.  Other meetings may be called when deemed necessary.

ARTICLE VII – PLANNING BOARD

Section 1.  The planning board shall consist of committee chairmen and guild officers.

Section 2.  Meetings shall be called at the discretion of the president.

ARTICLE VIII – COMMITTEES

The president shall appoint any committees deemed necessary to promote the objectives and interests of the guild.  These committees shall be appointed at the September meeting.

ARTICLE IX – RULES OF ORDER

The rules contained in Robert’s Rules of Order shall govern the guild in all cases to which they are applicable and in which they are not inconsistent with these by-laws.

ARTICLE X – AMENDMENTS TO BY-LAWS

These by-laws may be amended at any regular meeting of the guild by a quorum vote of the members present and voting, provided notice of the proposed amendment has been given at the previous meeting.
